Harvest Partners Acquires Integra Testing Services From Keystone Capital

The Mentor, Ohio-based HVAC testing and balancing platform, formed in 2022 and grown through nearly 20 acquisitions, keeps CEO Dominic Mazzolini and management as significant owners. Terms were not disclosed.

What happened

Funds managed by Harvest Partners, a New York private equity firm, completed the acquisition of Integra Testing Services from Keystone Capital Management, the Chicago investor that assembled the company. Harvest announced the deal on July 1, 2026. Integra is headquartered in Mentor, Ohio, and provides commercial HVAC testing, adjusting, and balancing (TAB), along with controlled environment (CE) testing and certification. CEO Dominic Mazzolini and his management team will continue to lead the company and remain significant owners. Financial terms were not disclosed.

The seller

Integra was built by acquisition rather than grown from a single shop. Fulton & Associates of Mentor, founded in 1996 and led by Mazzolini, and Neudorfer Engineers of Seattle, founded in 1970 and led by Bill Neudorfer, joined to create Integra effective January 2022, with a combined staff of over 110. Keystone, which first invested in 2021, sourced and closed the two deals simultaneously. International Test & Balance, a TAB firm in Chicago and Michigan, followed soon after, and Keystone says Integra completed nearly 20 acquisitions while it owned the business. CIBC Bank USA provided senior debt for the formation.

The acquired firms now operate as regional divisions. Most have taken the Integra name, such as Integra Testing Services – Ohio, formerly Fulton & Associates, and Integra New England, formerly J.F. Coffey Associates. A few keep their own names alongside it, including RSAnalysis in California, Nevada, and Utah, and Air Balancing Engineers in northern Pennsylvania, each styled "an Integra company."

Beyond TAB, the work covers commissioning, cleanroom certification, fume hood and pharmacy compliance testing, and duct leakage and air barrier testing. Customers are in life sciences, healthcare, education, government, and data centers, facilities where Harvest's announcement says "testing failure and downtime costs are high." At the time of the Harvest deal, Integra had more than 600 employees in 30 offices across the U.S., Mexico, and Guam, and it calls itself one of the nation's largest independent providers of certified TAB services for commercial HVAC systems.

"We shared a vision for Integra to become the national market leader in our industry, which we have achieved," Mazzolini said in Keystone's announcement of the sale.

The buyer

Harvest Partners, founded in 1981, invests in service businesses across business services and industrials, commercial services, consumer services, and healthcare services, and reported more than $20 billion in assets under management as of March 31, 2026.

Principal Shane McHugh said Integra "sits at the intersection of several investment themes that have each been long-standing focus areas for us including specialty testing, infrastructure services, and outsourced services into life sciences and healthcare." He said Harvest looks forward to supporting Integra's growth "both organically and through strategic acquisitions that broaden the Company's service offerings and geographic reach." Partner Stephen Fessler said Integra "has built a leading national platform providing mission-critical TAB and CE services to customers operating complex facilities."

Integra has kept acquiring since the close. On August 31 it announced Precision Balancing, a TAB firm in Pottstown, Pennsylvania, whose owner, Brian Rekos, stays on as district manager. In that announcement it reported nearly 700 professionals in 32 offices across the U.S., Mexico, Guam, and Canada. In September it announced Opia, a TAB, commissioning, and cleanroom testing provider in San José, Costa Rica, which continues as "Opia, an Integra Testing Company" and marks Integra's entry into Central America.

Houlihan Lokey, Jefferies, and Solomon Partners advised Harvest, with Kirkland & Ellis as legal counsel. DLA Piper served as legal counsel to Integra and Keystone.

What this means for HVAC testing and balancing owners

In January 2022 Integra was two regional TAB firms, one in Ohio and one in Washington. It has now been sold as a national platform, and within ten weeks of the close it had announced deals in southeastern Pennsylvania and Central America. For a regional balancing or commissioning firm, the company that bought many of its peers is still buying under its second private equity owner.

The more specific lesson is about who stayed. The executive who led Fulton & Associates into the 2022 formation now runs the whole platform, and his management team remained significant owners through the sale to Harvest.
