GHK Capital Partners Acquires MSouth-Backed USA Hometown Experts

What happened

GHK Capital Partners LP, a private equity firm based in Greenwich, Connecticut, announced on October 15, 2026, that it had completed its acquisition of USA Hometown Experts Inc. USA Hometown is a multi-trade home and commercial services company headquartered in Memphis, Tennessee.

MSouth Equity Partners, an Atlanta private equity firm, backed USA Hometown's formation in 2022. The M&A publication The Deal reported in May that MSouth was running an auction for the company. Bill Sublette, USA Hometown's CEO, will continue to lead it.

GHK was advised by Piper Sandler & Co. and Angle Advisors, with Paul, Weiss, Rifkind, Wharton & Garrison and Weil, Gotshal & Manges as legal counsel. DLA Piper served as USA Hometown's legal counsel. Financial terms were not disclosed.

The seller

USA Hometown provides HVAC, plumbing, electrical, and overhead door services to homeowners and businesses. It operates eight local brands, with heritage dating to 1908, from nine locations across Alabama, Florida, Georgia, South Carolina, Tennessee, Texas, and West Virginia. The home services trade publication Homepros reported that most of its work is residential service and replacement, carried alongside commercial construction work.

The company has grown by investing in locally operated service businesses. Metro Plumbing, Heating & Air, which Mark Hardin founded in Chattanooga in 1989, joined in 2025. It provides HVAC, plumbing, septic, and drain services to homeowners in the Chattanooga region and is led by CEO Drew Hardin. Dixie Electric, Plumbing & Air in Alabama is another of its brands. John and Noble Yelverton of Dixie say MSouth and USA Hometown "did everything they said they would during and after the transaction."

USA Hometown was MSouth's second platform investment in residential services. Sublette has more than 30 years of leadership experience across residential and commercial pest control, remediation, lawn care, and other markets.

The buyer

GHK was founded in 2018 by Gilbert H. Klemann and makes control investments in industrial companies across North America. It closed its second fund, at $870 million, in October 2024.

Klemann, GHK's managing partner, described USA Hometown as "a premier multi-trade residential and commercial services platform with a differentiated focus on attractive markets across the Southeast." He said GHK looks forward "to partnering with Bill and his team to accelerate USA Hometown's growth through new market expansion, the addition of new trades, and strategic acquisitions."

Sublette pointed to the buyer's background in the sector. "GHK's deep experience in the facility services sector and track record of building enduring value make them the ideal partner for our next phase of growth," he said.

What this means for HVAC owners

An owner who sells to a private-equity-backed platform is choosing two buyers at once: the platform they join, and whoever buys that platform later. The founders who brought their companies into USA Hometown joined a platform MSouth backed. They are now part of a GHK company without a sale of their own.
