Quad-C Management, a private equity firm based in Charlottesville, Virginia, announced an investment in Armstrong Transport Group on June 24, 2026. Armstrong is a Charlotte, North Carolina, freight brokerage that works mainly through a network of independent agents. Quad-C is partnering with Armstrong's executive management team, who will stay in their current roles and keep significant ownership in the company.
Carousel Capital, Armstrong's backer since 2019, announced the same day that it had realized its investment and that Quad-C now holds a majority stake. Barings served as administrative agent on the senior secured credit facilities supporting the deal, and K&L Gates was legal advisor to Armstrong. Terms of the transaction were not disclosed.
Armstrong was founded in 2006 and is headquartered in Charlotte's South End. It arranges full truckload, heavy-haul, flatbed, temperature-controlled, less-than-truckload, and cross-border freight across the United States, Canada, and Mexico, selling through independent agency offices and its own direct brokers. Agents concentrate on sales, while Armstrong handles the back office: transaction processing, customer invoicing, carrier onboarding, and carrier payment. Cameron Ramsdell is chief executive.
Carousel recapitalized the company in June 2019 alongside Brian Mann, then Armstrong's CEO and president, and Graton Eason. Mann said at the time that it was Armstrong's first investment from outside institutional capital. Barings provided the senior debt on that deal too. In 2019, Armstrong was recognized as one of the top 50 freight brokerages in North America; Transport Topics now ranks it among the top 15.
Quad-C was founded in 1989 and invests in established services and industrials businesses in the middle market. When it announced the Armstrong deal, it said it had invested $4.9 billion across 91 platform companies and more than 418 add-on acquisitions. Armstrong is its latest investment in transportation and logistics, after AIT Worldwide Logistics and Worldwide Express, among others. Michael Brooks, a Quad-C partner, called third-party logistics "a core area of focus at Quad-C."
Quad-C said the partnership "should allow for Armstrong to reinvest capital to accelerate growth both organically and through strategic acquisitions." Ramsdell said Armstrong "selected Quad-C because of their deep experience partnering with growth-oriented management teams in the transportation and logistics sector."
Both private equity firms on this deal pointed to how Armstrong performed through the freight recession. Carousel's Tyler Moses credited the team with "adding brokers and agents when others pulled back during the freight recession," and Quad-C's Tom Hickey pointed to a track record "across different freight environments." In a sale from one sponsor to another, the down-cycle years were part of the case each firm made in public, alongside Armstrong's agent model, carrier relationships, and technology spending.
For an owner of an agent-model brokerage, that puts the down-cycle years in the story a buyer hears. How the business added agents and brokers, and managed its balance sheet, while the market was soft is something both sponsors chose to talk about, which makes those years worth documenting before selling a logistics company to private equity.
