3i-Backed Regional Rail Acquires Massachusetts Central Railroad

The stock purchase from the John J. Pondelli Jr. Family Trust includes Wildwood Reload, a transload site in Barre, and is Regional Rail's first New England acquisition. Terms were not disclosed.

What happened

Regional Rail, a short-line freight railroad holding company backed by 3i, acquired Massachusetts Central Railroad, the freight short line that runs between Palmer and South Barre, Massachusetts. Regional Rail bought the company's stock from the John J. Pondelli Jr. Family Trust, and the deal also includes Wildwood Reload, a warehousing and transloading facility in Barre. Regional Rail and 3i holding entities first disclosed the transaction in a notice of exemption filed with the Surface Transportation Board on June 1, 2026, and Regional Rail announced on August 3, 2026, that it had closed. Financial terms were not disclosed.

The seller

Massachusetts Central is headquartered in Palmer, where its yard and intermodal facilities sit and where it interchanges with CSX and the New England Central Railroad. Most of its line is the former Ware River Railroad, which later ran as part of the New York Central System's Boston & Albany network. The Commonwealth of Massachusetts owns most of the right-of-way, and the railroad operates the line under an agreement with the Massachusetts Department of Transportation. It hauls, stores, and transloads freight for customers in waste, chemicals and plastics, and lumber.

John J. Pondelli Jr. was a part owner of the railroad before buying out its previous majority owner. He also owned two reload businesses that Trains described in 2023 as the railroad's largest customers: Gibbs Crossing Reload, eight miles north of Palmer, which handles covered hoppers of plastic pellets, and Wildwood Reload at the end of the line in South Barre, with warehouse buildings and a large salt shed. Wildwood is the reload that transferred with the railroad in this deal.

David Roy, general manager of both the railroad and Wildwood Reload, said: "Regional Rail is the right long-term partner for Massachusetts Central and Wildwood Reload. Its short-line railroad experience and commitment to local service will help strengthen relationships with customers, employees, and communities while creating new opportunities for the business."

The buyer

Regional Rail LLC is headquartered in Kennett Square, Pennsylvania. It had three railroads, all in the Northeast, when 3i partnered with it in July 2019; with Massachusetts Central it counts 18 railroads across 10 U.S. states and two Canadian provinces. Alongside freight hauling, car storage, and transloading, it designs, builds, inspects, and maintains railroad-crossing signals for short-line and industrial customers in more than 20 states through its Diamondback Signal subsidiary. The Worcester Business Journal reports that Massachusetts Central is Regional Rail's first acquisition in New England.

3i, an international investment manager focused on mid-market infrastructure and private equity, tied the deal to its strategy. "Massachusetts Central is an excellent addition to Regional Rail and reflects our broader strategy of partnering with established local operators, preserving the legacy built by entrepreneurs and prior owners, and supporting the next phase of growth," said Rob Collins, managing partner and head of North American infrastructure at 3i. Regional Rail President and CEO Al Sauer said the company looks forward to "building on their track record of high-quality service and working together to support customers and expand service opportunities."

What this means for rail freight owners

The railroad did not change hands alone. Regional Rail bought the stock of a short line whose largest customers, as of 2023, were its owner's own reload businesses, and one of those reloads came across in the same transaction. For an owner whose railroad and transload or warehouse businesses feed each other, this deal shows an infrastructure-backed consolidator buying the line and an affiliated traffic source together, on a line that runs largely on state-owned track under a MassDOT agreement.
