Valor Exterior Acquires Associate Roofing, Its Second Massachusetts Brand

The Osceola Capital-backed exterior platform adds a Braintree contractor that installs slate, copper and cedar roofs, reaching southern Massachusetts and Martha's Vineyard in its ninth deal since 2024. Terms were not disclosed.

What happened

Valor Exterior Partners, a Cincinnati-based portfolio company of Osceola Capital, has acquired Associate Roofing of Braintree, Massachusetts. The deal takes Valor into southern Massachusetts, Martha's Vineyard and the surrounding coastal islands, and is its ninth acquisition since the platform launched in September 2024. Financial terms were not disclosed.

The seller

Associate is tied to three generations of the Lynch family: Michael Lynch is a third-generation roofer whose family has been in the trade since 1932. Associate provides roofing, siding and other exterior work to homeowners across southern Massachusetts, Rhode Island and the islands off the coast.

What sets it apart is the range of materials its crews install: slate, copper, sheet metal, cedar and flat membrane roofs as well as asphalt shingle. It also takes commercial and condominium work, and its commercial references include Turner Construction, Spaulding Rehabilitation in Boston and Amtrak's Sharon station. The company is a member of the National Roofing Contractors Association and the Northeast Roofing Contractors Association.

Associate operates under its own name as one of Valor's nine brands.

The buyer

Valor installs, repairs and maintains roofing, siding, windows, doors, skylights, insulation and decking for residential homeowners. Osceola, a Tampa private equity firm that invests in lower-middle-market services companies, formed it in September 2024 with chief executive Jerry Arteaga, a former operating partner at Cold Bore Capital who spent most of a 20-plus-year Army career in Special Forces. Valor launched with two acquisitions in Vermont and New Hampshire; its brands now run from southern Maine to Delaware and west to northern Ohio and Louisville.

"Over the past several decades, Associate has earned a strong reputation in the region as a trusted provider of exterior services to high-end homeowners, making it a natural fit to join Valor," Arteaga said.

Ben Moe, managing partner at Osceola, said the deal "provides the platform with significant cross-selling opportunities, particularly as it relates to cedar roof and siding preservation services through Valor's existing Cedar Life division." Valor offers Cedar Life through Landmark Exteriors, its Connecticut and Westchester County brand.

Where Valor already works in Massachusetts

Associate is Valor's second Massachusetts brand. The first, Roofing King, joined in March 2025 as the platform's third acquisition: founded in 2007 and based in Tyngsborough, it serves Greater Boston, southern New Hampshire and coastal Maine. Valor now has one brand north of Boston and one on the South Shore, acquired a little over a year apart. When Valor announced Roofing King, Moe said Valor would "continue to seek additional partnerships in the Northeast and Mid-Atlantic regions." Both executives described this deal through Associate's customers: Arteaga named its standing with high-end homeowners, and Moe pointed to cross-selling cedar roof and siding preservation. For an owner whose work leans toward expensive homes, that makes the customer base, and which of a platform's other services it could carry, the first things to have clear before talking to a buyer like this one.
