Royalty Roofing Acquires Century-Old Vermont Roofer Rodd Roofing

What happened

Royalty Roofing, a Seymour, Indiana roofing contractor and portfolio company of Six Pillars Partners, has acquired Rodd Roofing, a fourth-generation contractor headquartered in St. Johnsbury, Vermont, that serves Vermont and New Hampshire. The transaction closed June 30, 2026, and was announced in late July. Royalty says the two companies are working together to keep the transition seamless for customers, employees and business partners. Financial terms were not disclosed.

The seller

Brothers Major and William Rodd founded Rodd Roofing in the early 1900s, and the company has been in business since 1920. Steve Rodd is president and master roofer, Casey Rodd is treasurer, and the company has about 40 employees.

Rodd does residential and commercial roofing for new construction and reroofing, specializing in slate, standing seam metal, copper, wood shingles and single-ply membrane, plus silicone roof coating restoration and metal retrofits. It has been a Carlisle Authorized Applicator since 1979 and entered Carlisle's Hall of Fame in 2004 for its 250th installation rated "Perfect 10" by the manufacturer's field inspectors. The company says only 180 of Carlisle's 1,900 authorized applicators have reached that status. It is a member of the National Roofing Contractors Association.

The buyer

Andy Royalty founded Royalty Roofing in 1986 and leads it as CEO. The company installs, replaces, repairs, maintains and retrofits commercial, industrial, institutional and residential roofs nationwide. When Six Pillars led its recapitalization in September 2023, Royalty served a predominantly commercial customer base that included national multi-unit aftermarket auto retailers, quick-service restaurants and franchisees, cold storage warehouse operators and food distributors. Sister company Majestic Facility Services runs a national network of technicians for commercial facility maintenance and repair. Six Pillars, based in Dallas, invests in founder-led essential business services companies in the lower middle market.

Andy Royalty framed the deal in the announcement: "This acquisition represents an important milestone in our continued growth strategy and extends the company's presence in the New England market. We look forward to building on Rodd Roofing's strong local relationships and trusted reputation while expanding service capabilities throughout Vermont and the broader New England region."

Rebranded offices and roofers that keep their names

Royalty's companies come in two forms. Companies it has rebranded as Royalty run its offices in Fort Myers, Orlando and Colorado Springs. Others keep their own names as members of what Royalty calls the Royalty family: Zimmer Roofing & Construction of Port Huron, Michigan, acquired in February 2025, and 768 Roof of Clearfield, Pennsylvania, and Rodd Roofing now appears in that group under its own name. What this means for roofing owners

A century-old specialist in slate, copper, and Carlisle membrane work now sits inside a platform whose commercial customers, as of 2023, included national chains and cold storage operators, and it still goes to market in Vermont and New Hampshire as Rodd Roofing. Because the same buyer has also folded companies into its own brand, an owner cannot read the outcome from the buyer's name alone. For a roofer in a market a platform like this has not yet reached, whether the company's name survives is a question to put on the table in the first conversation, not after the letter of intent.
