Awani Capital Management, a Washington, D.C.-area private equity firm, announced on June 25, 2026 that it had recapitalized Universal Roofing & Construction, a residential roofer based in Glendale, California, together with NewHaus Construction of Burbank, in partnership with management. The two companies now operate as one residential roofing platform headquartered in Los Angeles County, doing repair and replacement work in Los Angeles, the Bay Area, San Diego, Dallas, and Houston. Financial terms were not disclosed.
Universal does residential repair and replacement across Los Angeles, the Bay Area, and San Diego, and trades under both the Universal Roofing and Universal Builders names from its office on Mira Loma Avenue in Glendale. It holds a California C-39 roofing license and works on shingle, tile, metal, and flat roofs, offers a 50-year Owens Corning warranty on new installs and reroofs, and also takes on commercial roofing and some general construction, including windows, skylights, and painting. The company says it has more than two decades of experience in roofing and general construction.
Armen Ter-Petrosyan spoke for Universal in the announcement: "Awani shares our commitment to customer service, operational excellence, and supporting our employees, and we believe this partnership positions the Company for continued long-term success."
Universal's three markets are all among the five NewHaus serves, so the combination adds no new California metro; Dallas and Houston come through NewHaus. What the two share, in the words of NewHaus's Art Simonian, is "a common belief in providing homeowners with a superior re-roofing experience through premium service, standardized installation practices, and the use of high-quality materials."
The combined company does retail, cash-pay work for homeowners and has no insurance exposure. Roofing is the core of it, alongside insulation, gutters, windows, siding, solar, and other exterior work.
Awani invests in essential business and industrial services companies, and facility and residential services are among its target sectors. Founder and managing partner Daphne Dufresne was previously a managing partner at GenNx360, a New York middle-market private equity firm, where she led investments in GenServe, Precision Aviation Group, Aero 3, and Whitsons Culinary Group. Dufresne joins the roofing company's board, and Awani partner Nigel Howard becomes chairman.
Howard framed the plan directly: "We look forward to working alongside the founders and management team in its next phase of growth to build a leading national retail-focused residential roofing platform." Awani said it is actively seeking to partner with additional residential roofing businesses focused on the retail cash-pay market. Five days after the roofing deal, the firm announced an investment in Kalustyan, a specialty food ingredients supplier in Union, New Jersey.
Awani's announcement described the platform by the kind of work it takes on, retail cash-pay jobs for homeowners and no insurance work, and its call for more partners asks for that same profile. For a residential roofer, the split between retail reroofs and insurance-claim jobs is now a published criterion for at least one private equity buyer building in California and Texas, and it is worth knowing that number cold before a buyer asks. Universal also anchored the platform without bringing a new market: it was combined with a roofer serving the same three California metros, and that overlap did not stop the deal.
