O2 to Hand Stronghouse Solutions to Its Creditors in Recapitalization

What happened

Stronghouse Solutions, a residential roofing platform based in Oak Brook, Illinois, agreed in September 2026 to a recapitalization that moves control of the company from its private equity sponsor, O2 Investment Partners, to its creditors. Homepros reported the agreement on October 16, based on documents it reviewed. Stronghouse, O2, and the creditors agreed to a "comprehensive" recapitalization intended to reduce the company's leverage and increase its liquidity. Under it, O2 will "transfer ownership and governance rights" to the creditors, who are also providing additional capital. Stronghouse is also recruiting a new chief executive. Financial terms and timing were not disclosed, and Stronghouse and O2 did not respond to Homepros' requests for comment.

The seller

Stronghouse was formed in 2021 around a foundational investment by O2, which describes itself as a Midwestern private equity firm seeking majority interests in lower-middle-market business-to-business services, technology, and select industrial companies. The holding company previously operated as Capital Construction Holdings, based in Burnsville, Minnesota. It took the Stronghouse Solutions name in January 2023, when it had five brands and 15 offices across six states.

Stronghouse now serves more than 30 states with roofing, storm damage restoration, siding, windows, gutters, doors, and commercial exterior work. By July 2025 the platform ran eight brands: Capital Construction, Centurion Exteriors, Gustafson Roofing, Infinity Roofing & Siding, Irish Roofing & Exteriors, Linear Roofing & General Contractors, Marshall Building & Remodeling, and Options Exteriors.

The two most recent joined that July. Gustafson Roofing, founded in 1948, serves Palm Beach, Broward, and Miami-Dade counties from Boynton Beach, Florida. Centurion Exteriors, a Fort Wayne, Indiana, window and roofing company established in 2015, took the platform into Indiana. Russ Reynolds was named CEO in December 2024, and Troy Baker was appointed chief revenue and operating officer in June 2025. In a Construction Today profile this year, Reynolds described the company as moving "from a house of brands to a branded house."

The buyer

The Homepros report does not name the creditors that will take control. It does note that Sound Point Capital, a credit-focused investment firm, provided financing to Stronghouse in December 2022. Separately, ABF Journal reported in July 2025 that TPG Twin Brook acted as agent on debt financing for the Gustafson Roofing add-on. Neither firm is identified as one of the creditors taking ownership.

What this means for roofing owners

For an owner weighing a platform's offer, the counterparty is not only the sponsor named on the letter of intent but also the lenders financing the platform, because a recapitalization can hand them the business. An owner who joined a platform as recently as a year before can end up part of a company governed by parties they never negotiated with. Any rollover equity they kept sits behind that debt. That puts a platform's leverage alongside its price in what an owner is weighing when selling a roofing business to private equity.
